��CONTRATO DE LICENCIA DE SOFTWARE INTEL (OEM / IHV / Distribuci�n a ISV y usuario �nico)

IMPORTANTE: L�ASE ANTES DE COPIAR, INSTALAR O UTILIZAR EL SOFTWARE.

No use ni carge este software ni sus materiales afines (colectivamente, "Software") hasta no haber le�do cuidadosamente los siguientes t�rminos y condiciones. Al cargar o usar el Software, conviene revisar los t�rminos de este contrato. Si no desea prestar su consentimiento, no instale ni use el Software.

Tambi�n tenga en cuenta que:

* Si usted es un fabricante de equipos (OEM), proveedor independiente de hardware (IHV) o proveedor independiente de Software (ISV), la totalidad de este CONTRATO DE LICENCIA se aplica a usted

* Si usted es un usuario final, solamente el Ap�ndice A del CONTRATO DE LICENCIA DE SOFTWARE INTEL se aplica en su caso.

Para OEM, IHV e ISV:

LICENCIA. Este Software se licencia para uso exclusivo con los productos componentes de Intel. Sujeto a los t�rminos de este contrato, Intel le concede una licencia no exclusiva, intransferible, mundial y completamente pagada bajo los derechos de propiedad intelectual de Intel para:

a) usar, modificar y copiar Software de manera interna con fines de desarrollo y mantenimiento propios

b) modificar, copiar y distribuir Software, incluso obras derivadas del mismo; a sus usuarios finales, pero solamente en virtud de un contrato de licencia que contenga t�rminos de un car�cter tan limitado como los contenidos en el Contrato de Licencia final para usuario �nico de Intel, adjunto como Ap�ndice A

c) modificar, copiar y distribuir la documentaci�n para usuarios finales que podr� incluirse con el Software, pero �nicamente en relaci�n con el Software.

Si usted no es el fabricante o proveedor final de un equipo o programa inform�tico que incorpore el Software, podr� transferir una copia del Software, incluso las obras derivadas del Software (y la documentaci�n relativa a usuarios finales) a su recipiente para que �ste lo utilice en conformidad con los t�rminos de este contrato, siempre que dicho recipiente convenga en obligarse plenamente en virtud de los t�rminos aqu� expresados. No ceder�, sublicenciar�, arrendar�, ni transferir� o divulgar� el Software a terceros. No descompilar�, desensamblar� o deconstruir� el Software, con la finalidad de modificarlo.

Salvo lo indicado expresamente en este contrato, no se le otorga licencia o derecho directamente o por implicaci�n, incentivo, impedimento legal u otro motivo. Intel tendr� el derecho de inspeccionar los registros pertinentes que usted posea, o pedir a un auditor independiente que lo haga, para verificar el cumplimiento de los t�rminos y condiciones de este contrato.

CONFIDENCIALIDAD. Si desea que un asesor o subcontratista tercero ("Contratista") realice trabajos a su nombre que suponga acceso al Software o uso de �l, usted obtendr� del Contratista un contrato de confidencialidad que contenga t�rminos y obligaciones en relaci�n con el acceso al Software o su uso que revistan un car�cter al menos tan limitado como los estipulados en este contrato, con exclusi�n de todo derecho de distribuci�n, y en relaci�n al uso con otros fines.

De igual manera, usted no divulgar� los t�rminos de este contrato o su existencia, ni usar� la raz�n social Intel en ninguna publicaci�n o anuncio comercial sin contar con el consentimiento previo por escrito de Intel. No tiene derecho de usar ninguna de las marcas comerciales o logotipos de Intel.

PROPIEDAD DEL SOFTWARE Y LOS "COPYRIGHTS". Intel o sus proveedores retienen el t�tulo de propiedad de todas las copias del Software. El Software est� amparado por las leyes de copyright de los Estados Unidos y otros pa�ses, as� como por disposiciones de tratados internacionales. Est� prohibido eliminar avisos de copyright del Software. Intel podr� efectuar modificaciones en el Software o en elementos a los que en �l se haga referencia; en cualquier momento y sin previo aviso, pero Intel no se responsabiliza de proporcionar asistencia t�cnica respecto al Software o de actualizarlo. Excepto donde se haya estipulado locontrario, Intel no otorga ning�n derecho expreso o impl�cito en virtud de sus patentes, derechos de propiedad intelectual, de marcas comerciales o de otros derechos de propiedad intelectual. Usted podr� transferir el Software �nicamente si el recipiente consiente en obligarse plenamente a observar estos t�rminos y si no retiene ninguna copia del Software.

GARANT�A LIMITADA DEL MEDIO F�SICO. Si Intel ha distribuido el Software en medio f�sico (cd, floppy, etc.), Intel garantiza que dicho medio f�sico est� libre de defectos de tipo material por un per�odo de 90 (noventa) d�as a partir de la fecha de entrega. Si se identifica tal defecto, devuelva el medio f�sico a Intel para su reemplazo. El reemplazo del Software podr� ser en el mismo medio f�sico u otro medio, a discreci�n de Intel.

EXCLUSI�N DE OTRAS GARANT�AS. EXCEPTO LO YA DISPUESTO, EL SOFTWARE SE PROPORCIONA ORIGINAL Y SIN GARANT�AS EXPRESAS O IMPL�CITAS DE NING�N TIPO; ENTRE OTRAS, GARANT�AS DE COMERCIABILIDAD, AUSENCIA DE VIOLACIONES O IDONEIDAD PARA UN FIN DETERMINADO. Intel no garantiza ni asume responsabilidad de la exactitud o integridad de ning�n tipo de informaci�n, texto, gr�ficos, enlaces u otros componentes del Software.

LIMITACI�N DE RESPONSABILIDAD. NI INTEL NI SUS PROVEEDORES EN NING�N CASO SER�N RESPONSABLES EN RELACI�N CON CUALQUIER DA�O (ENTRE OTROS, P�RDIDA DE UTILIDADES, INTERRUPCI�N DE LA ACTIVIDAD COMERCIAL O P�RDIDA DE INFORMACI�N) RESULTANTES DEL USO O IMPOSIBILIDAD DE USO DEL SOFTWARE, INCLUSO SI SE HA INFORMADO A INTEL DE LA POSIBILIDAD DE QUE DICHOS DA�OS OCURRAN. DEBIDO A QUE EN ALGUNAS JURISDICCIONES SE PROHIBE LA EXCLUSI�N O LIMITACI�N DE RESPONSABILIDAD EN RELACI�N CON GARANT�AS IMPL�CITAS O CON DA�OS INDIRECTOS O INCIDENTALES, LA LIMITACI�N ANTERIORMENTE CITADA QUIZ�S NO SE APLIQUE EN SU CASO. USTED TAMBI�N PODR� RETENER OTROS DERECHOS LEGALES, QUE PUEDEN VARIAR DE UNA JURISDICCI�N A OTRA.

RESCISI�N DE ESTE CONTRATO. Intel podr� rescindir de este contrato en cualquier momento si usted no cumple con sus t�rminos. Luego de la rescisi�n, usted destruir� inmediatamente el Software o devolver� sus copias a Intel.

LEGISLACI�N APLICABLE. Las demandas emergentes de este contrato ser�n regidas por la legislaci�n del estado de California, con exclusi�n de los principios de conflicto entre diversos sistemas jur�dicos y la Convenci�n de las Naciones Unidas sobre los contratos relativos a enajenaci�n de bienes. Queda prohibido exportar el Software de una manera que viole la legislaci�n y reglamento de aplicaci�n sobre exportaciones. Intel no est� obligado en virtud de ning�n otro contrato, excepto que se exprese por escrito y est� firmado por un representante autorizado de Intel.

DERECHOS RESTRINGIDOS DEL ESTADO. Se proporciona el Software con "DERECHOS RESTRINGIDOS". El uso, duplicaci�n o divulgaci�n por parte del gobierno queda sujeto a restricciones seg�n lo estipulado en FAR52.227-14 y DFAR252.227-7013 et seq. o sus sucesores. El uso del Software por parte del gobierno constituye reconocimiento de los derechos de propiedad de Intel seg�n se expresan en el presente. CONTRATO DE LICENCIA DE SOFTWARE DE INTEL (Final, Usuario individual)

IMPORTANTE: L�ASE ANTES DE COPIAR, INSTALAR O UTILIZAR.

No use ni cargue este software ni sus materiales afines (colectivamente, el "Software") hasta no haber le�do cuidadosamente los siguientes t�rminos y condiciones. Al cargar o usar el Software, conviene en observar los t�rminos de este contrato. Si no desea prestar su consentimiento, no instale ni use el Software.

LICENCIA. Podr� copiar el Software en una sola computadora para uso personal y residencial, y podr� realizar una copia de seguridad del Software, sujeto a estas condiciones:

1. Este Software se licencia para uso exclusivo con los productos componentes de Intel. El uso del Software con productos componentes no provenientes de Intel Corporation no est� cubierto bajo esta licencia.

2. Prohibido copiar, modificar, arrendar, vender, distribuir o transferir, en todo o en parte, el Software, salvo seg�n lo estipulado en este contrato, y usted conviene en impedir la copia no autorizada del Software.

3. Prohibido aplicar t�cnicas de desconstrucci�n del Software para modificarlo, descompilar el Software o desensamblarlo.

4. Prohibido sublicenciar el Software o permitir el uso simult�neo de �l por m�s de un usuario.

5. El Software podr� contener programas u otra propiedad de terceros proveedores, algunos de los cuales podr�n identificarse en un archivo adjunto llamado "license.txt" o en otro texto o archivo, cuyos t�rminos se adjuntan a esta licencia.

INTEL SOFTWARE LICENSE AGREEMENT (OEM / IHV / ISV Distribution & Single User)

IMPORTANT - READ BEFORE COPYING, INSTALLING OR USING.

Do not use or load this software and any associated materials (collectively, the "Software") until you have carefully read the following terms and conditions. By loading or using the Software, you agree to the terms of this Agreement. If you do not wish to so agree, do not install or use the Software.

Please Also Note:

* If you are an Original Equipment Manufacturer (OEM), Independent Hardware Vendor (IHV), or Independent Software Vendor (ISV), this complete LICENSE AGREEMENT applies;

* If you are an End-User, then only Exhibit A, the INTEL SOFTWARE LICENSE AGREEMENT, applies.

For OEMs, IHVs, and ISVs:

LICENSE. This Software is licensed for use only in conjunction with Intel component products. Use of the Software in conjunction with non-Intel component products is not licensed hereunder. Subject to the terms of this Agreement, Intel grants to you a nonexclusive, nontransferable, worldwide, fully paid-up license under Intel's copyrights to:

a) use, modify and copy Software internally for your own development and maintenance purposes; and

b) modify, copy and distribute Software, including derivative works of the Software, to your end-users, but only under a license agreement with terms at least as restrictive as those contained in Intel's Final, Single User License Agreement, attached as Exhibit A; and

c) modify, copy and distribute the end-user documentation which may accompany the Software, but only in association with the Software.

If you are not the final manufacturer or vendor of a computer system or software program incorporating the Software, then you may transfer a copy of the Software, including derivative works of the Software (and related end-user documentation) to your recipient for use in accordance with the terms of this Agreement, provided such recipient agrees to be fully bound by the terms hereof. You shall not otherwise assign, sublicense, lease, or in any other way transfer or disclose Software to any third party. You shall not reverse- compile, disassemble or otherwise reverse-engineer the Software.

Except as expressly stated in this Agreement, no license or right is granted to you directly or by implication, inducement, estoppel or otherwise. Intel shall have the right to inspect or have an independent auditor inspect your relevant records to verify your compliance with the terms and conditions of this Agreement.

CONFIDENTIALITY. If you wish to have a third party consultant or subcontractor ("Contractor") perform work on your behalf which involves access to or use of Software, you shall obtain a written confidentiality agreement from the Contractor which contains terms and obligations with respect to access to or use of Software no less restrictive than those set forth in this Agreement and excluding any distribution rights, and use for any other purpose.

Otherwise, you shall not disclose the terms or existence of this Agreement or use Intel's name in any publications, advertisements, or other announcements without Intel's prior written consent. You do not have any rights to use any Intel trademarks or logos.

OWNERSHIP OF SOFTWARE AND COPYRIGHTS. Title to all copies of the Software remains with Intel or its suppliers. The Software is copyrighted and protected by the laws of the United States and other countries, and international treaty provisions. You may not remove any copyright notices from the Software. Intel may make changes to the Software, or to items referenced therein, at any time and without notice, but is not obligated to support or update the Software. Except as otherwise expressly provided, Intel grants no express or implied right under Intel patents, copyrights, trademarks, or other intellectual property rights. You may transfer the Software only if the recipient agrees to be fully bound by these terms and if you retain no copies of the Software.

LIMITED MEDIA WARRANTY. If the Software has been delivered by Intel on physical media, Intel warrants the media to be free from material physical defects for a period of ninety (90) days after delivery by Intel. If such a defect is found, return the media to Intel for replacement or alternate delivery of the Software as Intel may select.

EXCLUSION OF OTHER WARRANTIES. EXCEPT AS PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. Intel does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software.

LIMITATION OF LIABILITY. IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR LIMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.

TERMINATION OF THIS AGREEMENT. Intel may terminate this Agreement at any time if you violate its terms. Upon termination, you will immediately destroy the Software or return all copies of the Software to Intel.

APPLICABLE LAWS. Claims arising under this Agreement shall be governed by the laws of California, excluding its principles of conflict of laws and the United Nations Convention on Contracts for the Sale of Goods. You may not export the Software in violation of applicable export laws and regulations. Intel is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Intel.

GOVERNMENT RESTRICTED RIGHTS. The Software is provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or their successors. Use of the Software by the Government constitutes acknowledgment of Intel's proprietary rights therein. Contractor or Manufacturer is Intel Corporation, 2200 Mission College Blvd., Santa Clara, CA 95052.

EXHIBIT "A"

INTEL SOFTWARE LICENSE AGREEMENT (Final, Single User)

IMPORTANT - READ BEFORE COPYING, INSTALLING OR USING.

LICENSE. You may copy the Software onto a single computer for your personal, noncommercial use, and you may make one back-up copy of the Software, subject to these conditions:

1. This Software is licensed for use only in conjunction with Intel component products. Use of the Software in conjunction with non-Intel component products is not licensed hereunder.

2. You may not copy, modify, rent, sell, distribute or transfer any part of the Software except as provided in this Agreement, and you agree to prevent unauthorized copying of the Software.

3. You may not reverse engineer, decompile, or disassemble the Software.

4. You may not sublicense or permit simultaneous use of the Software by more than one user.

5. The Software may contain the software or other property of third party suppliers, some of which may be identified in, and licensed in accordance with, any enclosed "license.txt" file or other text or file.

Intel does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software.

LIMITATION OF LIABILITY. IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR LIMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.
